Despite ‘misgivings,’ judge approves Elon Musk’s $1.5M SEC settlement

TechCrunch · 1 month ago

A federal court has validated a settlement resolving Securities and Exchange Commission allegations that Elon Musk failed to promptly disclose his accumulating stake in Twitter during his 2022 acquisition of the platform. Under the arrangement, a trust associated with Musk will pay a $1.5 million penalty; the SEC argued that Musk's delayed disclosure resulted in approximately $150 million in financial gain for him, though the settlement does not require him to admit fault.

The presiding judge approved the agreement whilst explicitly documenting substantial reservations about its terms, ultimately concluding that although problematic, it met minimum legal standards for fairness and reasonableness. The judge had previously questioned whether Musk received special consideration from the current administration given his substantial financial backing of the 2024 presidential campaign, a concern that remained unresolved by the settlement's terms.

  • The judge formally approved the settlement despite explicitly expressing significant reservations about its adequacy and fairness
  • The judge had previously raised concerns about whether Musk received preferential treatment due to his substantial campaign donations to the current administration
