Meta plans non-voting shares to finance AI investment and acquisitions

The Verge ·

Meta plans to issue a new class of non-voting shares to help fund its AI push, as well as potential acquisitions and employee compensation. The move expands the company’s financing options as it spends heavily to build infrastructure, develop AI models and hire talent.

The shares are expected to begin trading in 2027. Meta raised its 2026 capital expenditure forecast to $135 billion to $145 billion, from a previous estimate of $130 billion to $145 billion. Its AI agent Muse reached 10 million US downloads, but has faced privacy concerns, including a report that it disclosed a user’s address and a pause to its conversation-sharing feature after chats were found publicly online.
