Zee Entertainment Enterprises shareholders approved a $330 million (INR3,143.5 crore) promoter fund infusion and a new employee stock option plan at an extraordinary general meeting, only for India's securities regulator to bar the company and two senior executives from the markets the following day. The timing is awkward for Zee, as the Securities and Exchange Board of India (SEBI) order relates to long-standing governance concerns about the company's promoters, even as the firm pushes ahead with a capital raise it says is vital to strengthening its finances.

Shareholders backed a preferential issue of nearly 250 million warrants to a promoter group entity at INR126 each, which would raise the promoters' stake to 23.79%, alongside an employee stock option scheme covering over 37 million options. A day later, SEBI barred Zee from the securities market for two months and barred chair emeritus Subhash Chandra and CEO Punit Goenka for 12 months each, alongside fines totalling INR1.48 crore ($155,000), over an undisclosed 2018 property pledge used to secure loans worth INR726 crore ($76.1 million) for Essel Group entities linked to the pair. Zee said it was reviewing the order but did not expect it to affect the fundraising, which it maintains has already received the necessary regulatory and shareholder approvals.
