Enhanced Games owner to acquire 77% of European promoter DEAG in all-stock deal valuing it at $115M
Enhanced Group, the owner of the Enhanced Games, has agreed to buy about 77% of German live entertainment and ticketing company DEAG in an all-stock deal. Enhanced says the acquisition would give it a network of promoters, events and ticketing services, and fits its view that people will value shared live experiences more as automation expands.
The deal values all of DEAG’s equity at about $115 million, with Enhanced issuing roughly 11 million shares at $8 each and no cash consideration. DEAG stages more than 6,000 events a year and reported 2025 revenue of €490 million, up around 33%, while forecasting more than €400 million for 2026. Enhanced reported a $61.9 million net loss on $17.7 million in second-quarter revenue; one seller is Apeiron Investment Group, linked to Enhanced’s co-founder and chairman, making the deal a related-party transaction.
In short
- Enhanced Group is acquiring about 77% of DEAG.
- The all-stock deal values DEAG at roughly $115 million.
- DEAG stages over 6,000 events annually.
Steelman: both sides, in good faith
The strongest fair case each way — we don't pick a winner.
The case for
Enhanced can argue that acquiring a large promoter and ticketing network gives it an established platform for growth and supports its bet that people will continue to value live events as technology changes how they work and socialise. Paying in shares preserves cash, while DEAG’s event volume and revenue growth offer a substantial operating base.
The case against
Investors can argue that the deal is a major strategic leap for a company reporting a substantial loss, and that issuing about 11 million shares could dilute existing shareholders before the benefits are proven. The related-party element calls for particular scrutiny, while the valuation and forecast revenues do not by themselves establish that the acquisition will create lasting value.
